Welcome to Review Punk (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our platform, tools, website, and communications system (collectively, the “Services”), which are designed to assist businesses in generating customer reviews—particularly on Google—through email and SMS messaging.
By accessing, subscribing to, or using any part of the Services, you agree to be bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, you may not use the Services.
1. Eligibility and Business Use
Our Services are intended solely for business use by companies operating in Canada. By using the Services, you represent and warrant that you are at least 18 years old, legally capable of entering into a binding contract, and authorized to act on behalf of the business entity you represent.
You agree to use the Services strictly for lawful, commercial purposes. We reserve the right to refuse or terminate access to any individual or entity found to be using the Services for personal, non-commercial, or unauthorized purposes.
2. Service Description
[Your Company Name] offers digital tools to help businesses collect online reviews from customers by sending requests via email and SMS. The system enables businesses to upload customer contact details and use pre-configured or custom messaging to encourage customers to leave reviews, particularly on Google.
While our platform facilitates the review request process, we do not influence or control the content, frequency, or rating of the reviews submitted. Customers submit feedback voluntarily, and results may vary. Incentivizing reviews with gifts, discounts, or other compensation is strictly prohibited and may violate Google’s review policies, as well as Canadian consumer protection laws.
You are solely responsible for ensuring that your use of the Services complies with applicable laws, digital marketing guidelines, and third-party platform policies.
3. Compliance with Canadian Anti-Spam Legislation (CASL)
As a Canadian business, we strictly adhere to Canada’s Anti-Spam Legislation (CASL). By using our Services, you confirm that you have obtained appropriate consent—either express or implied—from all individuals whose contact information you input or upload into our platform.
You agree that all messages sent through our system will comply with CASL requirements, including proper sender identification, honest subject lines, and clear opt-out (unsubscribe) mechanisms. Failure to comply may result in suspension or termination of your account, and you may be held legally responsible for any resulting violations.
You also agree to comply with the Personal Information Protection and Electronic Documents Act (PIPEDA) and any other applicable privacy laws related to the handling of personal data.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree not to share your login credentials with unauthorized parties and to notify us immediately of any suspected security breaches or unauthorized access.
You also agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are fully responsible for all actions taken through your account, whether or not you authorized them.
5. Prohibited Uses
You agree not to use the Services for any unlawful, unethical, or unauthorized purposes. Prohibited uses include, but are not limited to:
Sending spam or unsolicited messages;
Misrepresenting your business or identity;
Attempting to manipulate or falsify reviews;
Offering incentives in exchange for reviews;
Uploading contact data obtained without proper consent;
Attempting to gain unauthorized access to the platform or its infrastructure;
Violating any third-party platform's terms of service, including Google.
Violation of any of the above may result in immediate suspension or termination of your account, and legal action where applicable.
6. Third-Party Platforms
Our Services may include tools that help you direct users to leave reviews on third-party platforms such as Google. We are not affiliated with or endorsed by Google or any other review service, and we do not control how those platforms operate, moderate, or display reviews.
You are solely responsible for ensuring your use of our Services aligns with the terms and conditions of any third-party platforms you interact with. We are not liable for any actions taken by third-party platforms, including the removal or moderation of reviews.
7. Fees and Billing
If you subscribe to a paid plan, you agree to pay all applicable fees in accordance with the pricing and billing terms in effect at the time of your subscription. Billing may be monthly or annual, depending on the plan you select. All fees are non-refundable, except where required by law or explicitly stated in our refund policy.
You may cancel your subscription at any time through your account dashboard or by contacting our support team. Upon cancellation, your account will remain active until the end of your current billing cycle. No further charges will be applied, and premium features will be disabled after the cycle ends.
We reserve the right to increase our pricing or modify our subscription plans at any time. If we increase your fees, we will provide prior notice by email or through the platform. The updated pricing will apply at the beginning of your next billing cycle. If you do not agree to the new rates, you may cancel your subscription before the change takes effect.
It is your responsibility to ensure that your payment information is accurate and current. If a payment is declined or missed, we may suspend or terminate your access to the Services until payment is received.
By subscribing, you authorize Review Punk to charge your selected payment method on a recurring basis according to your chosen plan, unless and until you cancel.
8. Intellectual Property
All materials and content provided through the Services, including but not limited to software, branding, templates, messaging tools, designs, and systems, are the intellectual property of Review Punk and are protected under Canadian and international copyright and trademark laws.
You may not copy, distribute, modify, decompile, or reverse-engineer any part of our Services without prior written consent.
You retain ownership of all customer data and business content you upload to the platform. By using the Services, you grant us a limited, non-exclusive license to use such data solely for the purpose of delivering and improving our Services.
9. No Guarantees
You understand and agree that Review Punk makes no guarantees regarding the results or outcomes of using our Services. While we provide tools to help facilitate the collection of customer reviews, we do not and cannot guarantee that:
You will receive a specific number of reviews;
The reviews collected will be positive in nature;
Your star rating or business visibility on Google will improve;
Customers will respond to or act on review requests;
Third-party platforms will display or retain submitted reviews.
Customer engagement, behavior, and feedback are inherently unpredictable and beyond our control. You assume all responsibility for how your customers respond to communications initiated through our platform. Additionally, third-party platforms may filter, remove, or hide reviews according to their own internal guidelines, for which we are not responsible.
10. Disclaimer of Warranties
The Services are provided “as is” and “as available”, with no warranties of any kind, whether express or implied. We do not warrant that the Services will be secure, error-free, uninterrupted, or suitable for your specific business needs.
All warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed to the fullest extent permitted by law.
11. Limitation of Liability
To the maximum extent permitted by law, Review Punk, including its officers, employees, contractors, and affiliates, shall not be liable for any indirect, incidental, special, punitive, or consequential damages—including loss of profits, revenue, or data—arising out of or in connection with your use or inability to use the Services.
Our total liability under these Terms shall not exceed the total amount you have paid for the Services in the six (6) months preceding the event giving rise to the claim.
12. Termination
You may cancel your account and subscription at any time through your account settings or by contacting our support team. Cancellation will be effective at the end of your current billing cycle.
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, used the Services unlawfully, or posed a security or reputational risk to our platform.
Upon termination, your access to the platform and all associated features will end. You remain responsible for any outstanding fees incurred before termination.
13. Changes to Terms
We reserve the right to modify these Terms at any time. Any material changes will be communicated via email or in-app notifications, and the “Effective Date” at the top of this page will be updated. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
We recommend reviewing these Terms periodically to stay informed of updates.
14. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal action or proceeding arising from or related to these Terms shall be brought exclusively in the courts located in Calgary/Alberta, and you agree to the personal jurisdiction of such courts.
